Terms of Service

1. Introduction
These Terms of Service set forth the terms and conditions for the use of Censify service provided by Shunsuke Sakae. By using this service, users are deemed to have agreed to these Terms. Users must read and understand these Terms in their entirety before using the service.
2. Definitions
In these Terms, the following terms shall have the following meanings: 1. Service Agreement: The agreement concluded between the operator and users based on these Terms. 2. User: Individual or organization that uses this service. 3. User ID: Identifier used to identify users. 4. Intellectual Property Rights: Copyright, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights (including rights to obtain or register such rights). 5. Personal Information: Personal information as defined in Article 2, Paragraph 1 of the Personal Information Protection Act.
3. Application of Terms
These Terms govern all aspects of the relationship between the operator and users regarding the service. All guidelines and help documentation published on the service website constitute part of these Terms. In case of conflict between these Terms and other conditions, these Terms shall prevail unless specifically stated otherwise.
4. Changes to Terms
The operator may modify these Terms with notice to users. When modifying these Terms, the operator shall notify users through the service website or other specified methods. The modified Terms shall take effect after the specified period from notification. Users who continue to use the service after modification are deemed to have agreed to the modified Terms.
5. Service Agreement
Users must apply for service use according to the operator's specified method. The Service Agreement is concluded when the operator accepts the application through prescribed procedures. The operator may refuse or withhold acceptance of applications in cases such as: false registration information, past violations of agreements, or if the applicant is deemed to be an anti-social force.
6. Account Management
Users must create an account before using the service. Account information must be accurate and up-to-date. Users are responsible for managing their account information and may not transfer or lend it to third parties. Users must promptly notify the operator of any changes to registration information.
7. Organization Management
Users who create organizations can invite other users as organization administrators and set roles. Organization administrators can manage up to 10 users within their organization. Users must designate an administrator responsible for service usage and notify the operator in writing.
8. Service Period
The service agreement period is one year from the service start date. The agreement automatically renews for another year unless users submit a cancellation request one month before expiration. This renewal process continues similarly thereafter.
9. Service Provision
The service is provided through user terminals (smartphones, computers, etc.) connecting to the operator's servers via telecommunication lines under specified conditions. The operator may outsource service operations partially or entirely to third parties without user consent.
10. Usage Restrictions
The service is provided for users' business purposes only and may not be used commercially (providing services to third parties, whether paid or free). Users may not download or copy service software except for terminal applications. Users may only allow authorized users to use the service.
11. Service Changes
The operator may add or modify service features at its discretion for functional improvements. However, this does not guarantee maintenance of all pre-modification functions and performance.
12. Service Fees and Payment
Service fees and calculation methods are specified in the separate price list. Users shall pay service fees and consumption tax from the agreement date until termination. Users must pay fees by the specified date to the designated financial institution, with transfer fees borne by users. Late payments incur a 14.6% annual interest rate.
13. Data Handling
Users are responsible for maintaining input data. Users guarantee legal authority to provide input data and that such provision does not violate laws or third-party agreements. The operator may access data for maintenance but will not disclose it to third parties without consent. Output data copyright transfers to users upon provision, except for pre-existing operator copyrights.
14. Prohibited Actions
Users must not: 1. Violate laws or public order and morals 2. Interfere with other users' service use 3. Attempt unauthorized access or hacking 4. Analyze or reverse engineer service software 5. Use other users' IDs 6. View or modify other users' data 7. Engage in any other similar prohibited actions.
15. Intellectual Property Rights
All intellectual property rights related to the service (software, databases, icons, images, text, manuals, etc.) belong to the operator or third parties who have licensed them to the operator.
16. Limitation of Liability
The operator is not responsible for accuracy, completeness, or usefulness of output data. The operator does not guarantee 100% accuracy of the OCR results. The service is provided as-is, and the operator does not guarantee uninterrupted service or absence of defects. The operator's liability is limited to the service fees paid in the last three months, except in cases of willful misconduct or gross negligence.
17. Service Suspension and Termination
The operator may temporarily suspend service for maintenance with prior notice, except in emergencies. The operator may terminate service with one month's notice. Users may terminate after the initial one-year period with three months' notice. The operator may terminate immediately for user violations or bankruptcy.
18. Post-Termination Processing
Upon termination, users must immediately cease service use. The operator will delete all data within 14 days of termination. Users may request paid data provision if notified 1.5 months before termination.
19. Governing Law and Jurisdiction
These Terms are governed by Japanese law, and any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
